Welcome to Peregrine Automations. These Terms of Service ("Terms") govern your access to and use of our website, software products, and automation consulting services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Services.
1. Scope of Services
Peregrine Automations provides software development, API integrations, automation consulting, and proprietary Software-as-a-Service (SaaS) products.
General Use: These Terms apply to all visitors and users of our website.
Specific Agreements: If you engage us for custom consulting, development work, or enterprise SaaS licensing, those engagements may be governed by a separate Master Services Agreement (MSA) or Statement of Work (SOW). In the event of a conflict, the specific MSA or SOW will take precedence over these general Terms.
2. User Obligations and Acceptable Use
By using our Services, you agree to:
Provide accurate and current information when communicating with us or using our platforms.
Use the Services only for lawful purposes and in accordance with these Terms.
Not attempt to reverse-engineer, decompile, hack, or disrupt the operation of our websites, software, or backend infrastructure.
Not use our Services to transmit malicious code, spam, or unlawful material.
We reserve the right to suspend or terminate your access to our Services immediately if we suspect a violation of these rules.
3. Intellectual Property
Our IP: All original content, code, software architecture, designs, and workflows created by Peregrine Automations remain our exclusive intellectual property, protected by Australian and international copyright laws. Using our Services does not grant you ownership of our intellectual property.
Your Data: You retain full ownership of any raw data, files, or materials you provide to us (such as club fixture spreadsheets). By uploading data to our systems, you grant us a limited, non-exclusive license to process, format, and display that data solely for the purpose of providing the Service to you.
4. Third-Party Integrations and APIs
Our Services frequently rely on third-party platforms, APIs, and infrastructure (e.g., Vercel, Supabase, Make.com, or client-provided APIs).
We are not responsible for the uptime, performance, or policy changes of these third-party services.
If a third-party service modifies its API or restricts access, we will make reasonable efforts to maintain functionality, but we cannot guarantee uninterrupted service and are not liable for outages caused by external providers.
5. Disclaimers and Warranties
Our Services are provided on an "AS IS" and "AS AVAILABLE" basis. To the maximum extent permitted by Australian law, Peregrine Automations disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
While we strive for 100% accuracy and uptime (such as in our calendar synchronization tools), we do not warrant that our Services will be completely error-free, immune to delays, or that they will perfectly sync across all external devices at all times.
6. Limitation of Liability
To the fullest extent permitted by the Competition and Consumer Act 2010 (Cth) and other applicable laws:
Peregrine Automations, its directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages.
This includes, but is not limited to, loss of profits, data loss, business interruption, or damages arising from missed events, scheduling errors, or system downtime.
In the event that we are found liable for any claim arising out of your use of the Services, our total aggregate liability shall not exceed the total amount paid by you to us for the specific Service in the three (3) months preceding the event giving rise to the claim.
7. Privacy
Your privacy is important to us. Our collection and use of personal information in connection with the Services are described in our Privacy Policy.
8. Modification of Terms
We reserve the right to modify or update these Terms at any time to reflect changes in our business or legal requirements. We will notify users of significant changes by updating the "Effective Date" at the top of this page. Continued use of our Services after such changes constitutes your acceptance of the revised Terms.
9. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of New South Wales, Australia. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of New South Wales.

Schedule A: Express Automations (Fixed-Price Deployments)
1. Scope & Delivery: Express Automations are one-time technical deployments, not ongoing SaaS subscriptions. We guarantee deployment within 72 business hours of receiving a completed Technical Intake Form.
2. 30-Day Deployment Warranty: For 30 days following the "Go-Live" date, we will resolve any bugs or structural defects within our automation code at no cost. Requests beyond 30 days require a separate consultation fee or retainer.
3. Third-Party Dependencies: We are not liable for system failures caused by third-party platforms (e.g., Make.com, Xero, ClickSend, Stripe) changing their APIs, pricing, or experiencing outages.
4. Client Infrastructure: The Client is strictly responsible for maintaining and funding the underlying third-party SaaS accounts required to run the automation.
5. Liability Limit: Our maximum total liability for any claim arising out of an Express Automation deployment is strictly capped at the total amount paid by the Client for that specific sprint ($997 AUD).
